ARTICLE 1 – PARTIES
This Membership Agreement (“Agreement”); www.crmextra.app and mobile device applications and KODGARAJ YAZILIM TİCARET A. Ş. (“KODGARAJ”) located at Esenyalı Mahallesi Yanyol Caddesi Varyap Plaza No:61/122 Pendik – İstanbul and www.crmextra.app and its mobile application (“Platform”) by accepting the following terms, the website user who is a member or the user who is a member of the applications installed on mobile devices (“Member/User”) has been concluded to determine the conditions for the Member/User to benefit from the Services offered by KODGARAJ (www.crmextra.app). KODGARAJ (www.crmextra.app) and the Member / User shall be referred to as “Parties” together in this Membership Agreement.

ARTICLE 2 – DEFINITIONS
Open Market: KODGARAJ (www.crmextra.app) as “intermediary service provider” pursuant to the Law No. 6563 on the Regulation of Electronic Commerce and as “hosting provider” pursuant to the Law No. 5651 on the Regulation of Publications on the Internet and the Fight Against Crimes Committed Through These Publications) brings Sellers and Buyers together through the Platform and mediates the product and/or service sales of Sellers from the Platform as a commercial representative.
Buyer: refers to natural and/or legal persons who purchase products and/or services from the Platform.
Privacy Policy and Data Protection Notice: refers to the personal data transmitted by Members/Users through the Platform, KODGARAJ (www.crmextra.app), including issues such as for what purposes and how it will be used by KODGARAJ(www.crmextra.app) regulating the general privacy policy of KODGARAJ (www.crmextra. app) regarding personal data and the use of cookies, including issues such as the use of cookies.
My Account Page: refers to the Member / User-specific page where the Member / User can perform the necessary transactions in order to benefit from various applications and Services on the Platform, enter his personal information and information requested from him on the basis of the application, which can only be accessed with the username and password determined by the relevant Member / User.
Services: refers to the applications put forward by KODGARAJ (www.crmextra.app) in order to enable the Member / User to perform the business and transactions defined in this Membership Agreement.
Seller: KODGARAJ (www.crmextra.app) and KODGARAJ (www.crmextra.app) and refers to the legal/real person member who becomes a member of the Platform within the scope of the Seller Business Partnership and Advertisement Agreement and offers various products and/or services for sale through the advertisements published through the account he/she created.

ARTICLE 3 – RIGHTS AND OBLIGATIONS OF THE PARTIES
3.1. In order to gain membership status, the user who wants to become a Member/User must approve this Membership Agreement on the Platform, fill in the information requested here with accurate and up-to-date information, and the Membership application must be evaluated and approved by KODGARAJ (www.crmextra.app). The user who wants to become a member must be over 18 (eighteen) years of age. Once the approval process is completed and notified to the Member/User, the Membership status begins and thus the Member/User acquires the rights and obligations specified in this Membership Agreement and relevant parts of the Platform. The Member/User who does not provide accurate and up-to-date information when filling out the Membership Agreement in question is personally responsible for all damages that may arise for this reason.
3.2. If there is a dispute as to which person the membership rights and obligations belong to, and if such persons make a request from KODGARAJ(www.crmextra.app), payment will be made to KODGARAJ(www.crmextra.app) for any Service using the relevant Membership account. It will accept that the last person who did so is the owner of the Membership account and will take action accordingly.
3.3. If the Member/User wishes to initiate any legal action or purchasing process regarding the products viewed on the Platform, he/she is obliged to fulfill all necessary legal obligations and legal procedures, including those on the Platform, regarding such obligations and procedures. It accepts, declares and undertakes that KODGARAJ(www.crmextra.app) has no knowledge or responsibility.
3.4. Within the Platform, in other words, if KODGARAJ(www.crmextra.app) is not the seller of any product or service on the Platform, KODGARAJ(www.crmextra.app) is only an “intermediary service” in accordance with the Law on the Regulation of Electronic Commerce No. 6563. provider” and “hosting provider” in accordance with the Law No. 5651 on the Regulation of Publications Made on the Internet and Combating Crimes Committed through These Publications. 3.5. The Member/User acknowledges and agrees that the Seller is the selling party and he/she is the buyer in the distance sales contracts to be concluded for purchases from any Seller via the Platform; KODGARAJ(www.crmextra.app) is not a party to the mentioned distance sales contract relationship; Therefore, the Seller accepts, declares and undertakes that only the Seller is personally responsible in every sense within the scope of the applicable consumer law legislation and other legislation. In this context, we are responsible for the quality of all products exhibited and sold on the Platform, their compliance with the legislation, the issuance of warranty certificates, invoicing and delivery of other necessary documents, and the required after-sales service, etc. The Seller will be personally and exclusively responsible for the services and timely delivery of the products.
3.6. Within the platform, KODGARAJ (www.crmextra.app), due to its status as an intermediary service provider and its authority in the contract signed with the Seller; The Member/User will have the authority to collect the price of the product on behalf of the Seller for the products to be purchased from the Seller, and with this payment to KODGARAJ (www.crmextra.app), the Buyer will be relieved of its payment obligation to the Seller and will also be able to pay the Seller. won’t have to do it.
3.7. The Member/User declares that he/she accepts that he/she will act in accordance with the provisions of this Membership Agreement, all conditions specified on the Platform, applicable legislation and rules of ethics in the transactions and correspondence carried out on the Platform. The Member/User bears legal and criminal liability for the transactions and actions he/she carries out within the Platform.
3.8. KODGARAJ (www.crmextra.app) may share the Member/User’s information with the authorities upon request by the competent authorities in accordance with the legislation in force.
3.9. Personal data received from Members/Users during membership to the Platform and/or during shopping shall be used only in cases of disputes arising between Members/Users and/or Sellers on issues that may constitute a crime within the meaning of the Turkish Penal Code, such as forgery, fraud, misuse of the Platform, It may be forwarded to other Members/Users and/or Sellers who may be parties to the dispute, in order for the parties to exercise their legal rights and only within this scope.
3.10. Username and password information required by the Member/User to access the My Account Page and perform transactions on the Platform.

ARTICLE 4 – CONFIDENTIALITY
4.1 KODGARAJ (www.crmextra.app) processes, ensures the security and protection of the personal data provided by the Member/User through the Platform in order to benefit from the Services offered on the Platform, in accordance with all legislation, including the Personal Data Protection Law No. 6698. attaches importance. KODGARAJ(www.crmextra.app), in this context, the personal data provided by the Member/User is in accordance with the Privacy Policy at the link KVKK – Privacy Policy (https://www.crmextra.app/kvkk-gizliği-politikasi/). collects, uses, transfers and processes in other ways. The Privacy Policy is an integral part of this Membership Agreement.
4.2. By benefiting from the Services and/or creating an account, the Member/User expressly and freely consents to the collection, use, transfer and other processing of his/her personal data as specified in the Privacy Policy. For more information about the conditions regarding the use of personal data and your rights in this regard, you can review our Privacy Policy and exercise your rights arising from the legislation by sending an e-mail to [email protected].
4.3. Personal data declared by the Member/User on the Platform and consented to be shared; Fulfilling the obligations determined by this Membership Agreement, carrying out the applications required for the operation of the Platform, providing and offering various advantages for the Member/User and providing Member/User-specific advertising, sales, marketing, surveys, all kinds of electronic communication for similar purposes, profiling, statistical It is collected, stored, processed and used by KODGARAJ (www.crmextra.app) or its business partners in order to carry out studies in accordance with the Privacy Policy and may be shared with third parties based on our contractual relations.
4.4. Member/User accepts, declares and undertakes that he/she consents to the use and storage of his/her personal data by KODGARAJ(www.crmextra.app). ARTICLE 5 – INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS

Member/User cannot use, share, distribute, exhibit, reproduce or create derivative works of intellectual property rights owned by KODGARAJ (www.crmextra.app) or its affiliates without written permission. Member/User cannot use the whole or part of the mobile application or Platform in any other environment without the written permission of KODGARAJ (www.crmextra.app). If the Member/User acts in a way that violates the intellectual property rights of third parties or KODGARAJ(www.crmextra.app), the Member shall be responsible for all direct and is liable to compensate for indirect damages and expenses.

ARTICLE 6 – CONTRACT AMENDMENTS
KODGARAJ(www.crmextra.app), at its sole discretion, may terminate this Membership Agreement and all kinds of policies, terms and conditions, including the Privacy Policy on the Platform, at any time it deems appropriate, provided that it is not contrary to the provisions of the applicable legislation. It can be changed unilaterally by announcing it on the Platform. The changed provisions of this Membership Agreement will become valid on the date they are announced on the Platform, and the remaining provisions will remain in force and continue to produce their provisions and consequences.

ARTICLE 7 – FORCE MAJEURE
Uprising, embargo, state intervention, rebellion, occupation, war, mobilization, strike, lockout, labor actions or boycotts, including employee-employer disputes, cyber attack, communication problems, infrastructure and internet failures, system-related improvement or renewal works and these malfunctions that may occur due to any reason, power outage, fire, explosion, storm, flood, earthquake, migration, epidemic or other natural disaster or other events that occur beyond the control of KODGARAJ(www.crmextra.app) and are not caused by its fault and cannot be reasonably foreseen ( If “Force Majeure”) prevents or delays KODGARAJ(www.crmextra.app) from fulfilling its obligations arising from this Membership Agreement, KODGARAJ(www.crmextra.app) cannot be held responsible for its obligations whose performance is prevented or delayed as a result of Force Majeure and this situation It cannot be considered a violation of this Membership Agreement.

ARTICLE 8 – MISCELLANEOUS PROVISIONS
8.1. Evidence contract; In case of disputes that may arise from this Membership Agreement, the Seller’s official books and commercial records and the e-archive records, electronic information and computer records kept in KODGARAJ (www.crmextra.app)’s database and servers are binding, definitive and binding. accepts, declares and undertakes that it will constitute exclusive evidence and that this article is in the nature of an evidentiary contract within the meaning of Article 193 of the Code of Civil Procedure No. 6100.
8.2. Applicable Law and Dispute Resolution; This Membership Agreement will be exclusively subject to the laws of the Republic of Türkiye. Any dispute arising from or in connection with this Membership Agreement will be under the exclusive jurisdiction of Istanbul Anatolian Consumer Arbitration Committees and Istanbul (Anatolia) Courts and Enforcement Offices.
8.3. Notification; KODGARAJ(www.crmextra.app) will communicate with the Member/User via the e-mail address provided by the Member when registering or by calling and sending SMS to the phone number. Member/User is responsible for keeping their e-mail address and telephone number up to date.
8.4. Integrity and Severability of the Membership Agreement; This Membership Agreement constitutes the entire agreement between the Parties regarding the subject. If any provision of this Membership Agreement is determined to be wholly or partially invalid, unenforceable or unreasonable by any competent court, arbitration tribunal or administrative authority, this Membership Agreement will be deemed severable to the extent of such invalidity, unenforceability or unreasonableness and Other provisions will remain in full force and effect.
8.5. Transfer of Membership Agreement; Member/User will not be able to assign its rights or obligations in this Membership Agreement, in whole or in part, without obtaining the prior written consent of KODGARAJ(www.crmextra.app).
8.6. Amendment and Waiver; Failure of a Party to exercise or enforce any right granted to it in the Membership Agreement will not mean that it has waived that right or will not prevent the subsequent use or enforcement of that right.
This Membership Agreement, consisting of 8 (eight) articles and 5 (five) pages, is signed electronically by the Member/User by reading and fully understanding each provision.
